IMC Structure

Working Groups
Definition:
- Do the work of the IMC
- Have autonomy to make most decisions over their area of responsibility
- Bring decisions that affect whole IMC and/or other groups to the Steering Group.
Membership:
- Empowered spokes must be an IMC member.
Meetings:
- The IMC is committed to creating and maintaining an open and fair community. Meetings are open to all without regard to age, gender, race, ethnicity, sexual orientation, disability, citizenship, or any other applicable basis proscribed by law. Every participant will be treated fairly and equitably.
- Working Groups will adhere to nondiscrimination and mediation policies at the IMC.
- Must post meeting minutes at IMC and to the general IMC e-mail list.
- Must have meetings at a regular time and place, and must post this information at the IMC.
- Meetings are open to the public
- In the case of a irresolvable block to a particular proposal, after all IMC consensus procedures are exhausted (see IMC consensus procedures document), decision making power on that proposal will default to the IMC members at the meeting for resolution by consensus.
Steering Group:
Definition:
- Coordinates activities between Working Groups and makes decisions that impact all Working Groups.
Membership:
- Made up of 1 or 2 empowered spokespeople from each Working Group.
- Any given member is limited to serving a maximum of 3 years on the Steering Group. Lesser limits may be defined by their Working Groups.
- After 3 consecutive years, a member must take minimum interim of 1 year in between service as a spokesperson.
- Any given person can only be an empowered spoke for one working group.
Meetings:
- The IMC is committed to creating and maintaining an open and fair community. Meetings are open to all without regard to age, gender, race, ethnicity, sexual orientation, disability, citizenship, or any other applicable basis proscribed by law. Every participant will be treated fairly and equitably.
- Steering Group will adhere to nondiscrimination and mediation policies at the IMC.
- Must be held at a regular time and place and posted at the IMC and on the general IMC e-mail list.
- Must be held at least once per month.
Meeting Operation:
- There must be a minimum quorum of one empowered spokesperson from each Working Group in order for decisions to be made.
- Meetings are open to the public.
- All SG meeting attendees—not just empowered spokes—will have equal standing in decision making. All attendees may make proposals and may voice concerns.
- All decisions are made by consensus amongst all meeting participants.
- In the case of a irresolvable block to a particular proposal, after all IMC consensus procedures are exhausted (see IMC consensus procedures document), decision making power on that proposal will default to the empowered spokes for resolution by consensus.
Communication:
Meeting minutes must be posted at the IMC and to the general IMC e-mail list which must include known topics for the next meeting.
General Membership
Membership:
- All members of the IMC.
- U-C IMC membership is defined as:
- Paying dues of $25-50
- Making an in-kind material donation approved by the finance group.
- If paying for membership is a hardship, a person can request a smaller membership fee or no fee - from a working group. Working groups must communicate new members to the membership coordinator or finance group. [exact wording of this bullet point to be decided by steering]
- Membership is annual.
Meetings:
- The IMC is committed to creating and maintaining an open and fair community. Meetings are open to all without regard to age, gender, race, ethnicity, sexual orientation, disability, citizenship, or any other applicable basis proscribed by law. Every participant will be treated fairly and equitably.
- Members will adhere to nondiscrimination and mediation policies at the IMC.
- Held at least 2 times a year.
- Organized by the Steering Group.
- Must be scheduled and first announced at least 30 days prior to the planned meeting.
Meeting Operation:
- All decisions are made by consensus amongst all meeting participants.
- In the case of a irresolvable block to a particular proposal, after all IMC consensus procedures are exhausted (see IMC consensus procedures document), decision making power on that proposal will default to the empowered spokes for resolution by consensus.
Life of this document
- The terms of this structure will expire in 12 months from the time it is enacted, combined with a formal review of it by the IMC general membership.
- Changes, amendments or the nullification of this document must be approved by the IMC general membership.
